Terms of Service

These Terms of Service ("Terms") are a legal agreement between you and Berkway Group Limited ("Berkway", "we", "us"), a company registered in England and Wales (company number [company number], registered office [registered office address]), trading as Postbase, and govern your use of the hosted Postbase service at postbase.so (the "Service"). By creating an account or using the Service you agree to these Terms.

1. Definitions

  • Service — the hosted Postbase cloud product at postbase.so.
  • Self-Hosted Software — the open-source Postbase software you may run yourself.
  • Channel — a social account (e.g. X, LinkedIn, Instagram) you connect.
  • Content — posts, captions, media, and other material you create, schedule, or publish through the Service.

2. What Postbase is

Postbase is a publishing and scheduling tool — a "rail" that schedules and publishes your Content to the Channels you connect, including via an API and MCP server that let AI agents operate it on your behalf. Postbase is not a content generator and does not create your Content.

3. Eligibility

You must be at least 18 and able to form a binding contract. If you use the Service for an organisation, you confirm you are authorised to bind that organisation to these Terms.

4. Your account

You are responsible for the accuracy of your account information, for keeping your credentials and API keys secure, and for all activity under your account (including actions taken by AI agents you authorise). Tell us promptly of any unauthorised use.

5. Connected channels and third-party platforms

You authorise Postbase to access the Channels you connect and to publish Content to them on your instruction. Your use of each Channel is also subject to that platform's own terms and policies. The platforms are independent of us: their APIs, availability, rules, and pricing can change or fail, and we are not responsible for platform outages, rejections, account restrictions, or changes that affect publishing.

6. Your Content

You own your Content. You grant Berkway a limited, non-exclusive licence to host, process, and transmit your Content only as needed to provide the Service (i.e. to store, schedule, and publish it to the Channels you choose). You are solely responsible for your Content and you warrant that you have the rights to it and that publishing it complies with the law and with each platform's rules.

7. Acceptable use

You must not use the Service to:

  • send spam or violate any platform's rules, rate limits, or automation policies;
  • publish unlawful, infringing, deceptive, or abusive Content;
  • attempt to breach, overload, reverse-engineer, or interfere with the Service or its security;
  • resell or provide the hosted Service to third parties except as expressly permitted; or
  • use the Service to harass, defraud, or harm others.

We may suspend or terminate accounts that breach this section.

8. API and MCP access

We may issue API keys and provide an MCP server so you (and AI agents you authorise) can operate the Service programmatically. You are responsible for actions taken with your keys and must keep them confidential. We may apply rate limits and may revoke keys for abuse.

9. Plans, trials, and billing

  • No free plan. The hosted Service is paid. New accounts may start a 7-day free trial, which requires a valid payment method.
  • Automatic conversion and renewal. Unless you cancel before the trial ends, your subscription begins and renews automatically each billing period at the then-current price. You can cancel any time; cancellation takes effect at the end of the current paid period.
  • Payments are processed by our payment processor ([e.g. Stripe]). Prices are exclusive of taxes unless stated; you are responsible for applicable taxes.
  • Price changes apply from your next renewal, with reasonable prior notice.
  • Refunds. Except where required by law [or under any money-back guarantee we expressly offer], fees are non-refundable. Nothing in these Terms removes any statutory rights you have as a consumer.

10. Open source and self-hosting

The Self-Hosted Software is provided separately under its own open-source licence ([AGPL-3.0]), which governs your use of that software. These Terms govern only the hosted Service. When you self-host, you operate the software yourself, supply your own platform API keys, and are responsible for your own deployment.

11. Intellectual property

The Service, the Postbase name, logo, and brand are owned by Berkway. Except for the rights expressly granted to you, we reserve all rights. You may not use our brand without permission.

12. Disclaimers

The Service is provided "as is" and "as available". To the extent permitted by law, we disclaim all implied warranties. We do not guarantee that every post will publish, that publishing will be uninterrupted or error-free, or that connected platforms will accept your Content — outcomes depend on third-party platforms outside our control.

13. Limitation of liability

To the extent permitted by law, Berkway is not liable for indirect, incidental, or consequential losses, or for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Service is limited to the amount you paid us for the Service in the 12 months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law (such as for death or personal injury caused by negligence, or fraud).

14. Indemnity

You will indemnify Berkway against claims, losses, and costs arising from your Content, your use of the Service, or your breach of these Terms or of any platform's rules or applicable law.

15. Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate access if you breach these Terms, if required for security or legal reasons, or if we discontinue the Service (with reasonable notice where practical). On termination your right to use the Service ends; sections that by their nature should survive (e.g. 6, 11–14) survive.

16. Changes

We may change the Service or these Terms. For material changes to the Terms we will give reasonable notice (by email or in-product). Continuing to use the Service after changes take effect means you accept the updated Terms.

17. Governing law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, subject to any mandatory consumer protections in your country of residence.
